Why now? What's the timing advantage?

Germany legalized cannabis home-growing in April 2024. Netherlands, Czech Republic, and Malta are following. There is no dominant all-in-one ecosystem player in Europe. The assets exist, the brand has awareness, and 7,000+ leads are waiting. Every month without production is lost market share.

What happened? Why is there a restructuring?

An external electronics supplier terminated the contract during production — a single point of failure. Not a product problem (€200K+ revenue), not a market problem (legalization wave), and not an infrastructure problem (tech stack survived intact). The restart eliminates this dependency by bringing electronics in-house.

What’s the risk profile?

Previously identified operational risk (single electronics supplier) has been structurally addressed — electronics are being brought in-house. What’s de-risked: validated product-market fit, granted US patent, ~€40K raw-material inventory (enough for production restart within weeks of funding), complete and tested tech stack, 7,000+ warm leads. Why was marketing neglected?

One person built everything: 30 hardware products, a US patent, the entire tech stack, and ran production simultaneously. Resources went to product and infrastructure first — the right decision for validation, but it left marketing capacity at zero. With capital + AI automation, the existing infrastructure scales immediately.

Who are the competitors?

There is no integrated all-in-one ecosystem competitor in Europe. The market consists of point solutions — individual grow tents, separate lighting, standalone climate controllers, manual irrigation. No one combines hardware, software, CAN-BUS automation, and a digital platform into a single ecosystem. The closest global comparison is AC Infinity (US), but they lack the modular interconnection and software layer. Gardyn (US, non-cannabis hydroponic) and Click & Grow (EU, herbs-only) operate adjacent categories. growSMART’s moat is the integrated system plus cannabis-first positioning in Europe.

How is the asset deal structured?

A newly incorporated entity (NewCo) acquires IP, molds, brand, inventory and the tech stack from the insolvency estate via a standard Asset Purchase Agreement supervised and approved by the court-appointed administrator. No legacy liabilities transfer. Customer obligations from the prior operating entity remain with the estate. The founder did not personally guarantee holding-entity debts, so no personal liability carries into NewCo.

Who controls NewCo post-investment? What does the cap table look like?

At closing: Founder (Tobias Leichtle) holds the common majority with 4-year vesting and 1-year cliff. Seed investors enter via convertible note at a capped valuation with discount, converting at the next priced round. Full cap table and deal terms are walked through on the call. No hidden legacy shareholders carry over from the prior entity.

What happens if the asset deal doesn’t close?

Primary plan: administrator-approved Asset Purchase Agreement at the indicative price. Contingency path: if the administrator’s valuation exceeds the offer, the deal can be restructured as an IP-license-only acquisition at a reduced scope, or as a staged acquisition with performance milestones. The 7,000+ leads database, founder’s hardware know-how, CAD files, and the digital infrastructure architecture sit with the founder independently of the estate assets, so the restart thesis is resilient even in a partial-close scenario.
